THE ONLINEIDOLS OFFICIAL RULES FOR COMPETITION:
1. Introduction. The OnlineIdols website Competition (the "Contest") gives our members the opportunity to compete through 3 Phases:

1. PHASE 1 ("Phase 1"). Compete their TALENT performance, be selected as one of the twenty ("20") nominees to be displayed on the homepage of Onlineidols every month.
2. PHASE 2 ("Phase 2"). Compete for the Idol title for each month (the "Viewer's Choice "), among the 20 nominees held on the Onlineidols website voted by the site viewers to win $100 (3rd), $200 (2nd) or $400 (1st) and the Onlineidol Trophy.
3. PHASE 3 ("Phase 3") Compete for the Idol of the Year. After 12 month, the idol of each month is given the chance to submit a newly created performing video, and compete for the Onlineidol of the Year to win $2500 and the Trophy.

2. The Contest Time Table.
The Contest is held once every calendar month (the "Contest Period"). The Viewer's Choice is held over the period between Contests usually the length of a calendar month.

1. The first day of each month at 12:00am eastern U.S. time, the previous month video submission that competes for the idol title of the current month is expired, and the video submission to compete for the next month is permitted.
2. The submitted videos of previous month are displayed at the same time (12:00am eastern time) and the voting and rating are open to our members only.
3. At the 15th of each month 12 am, the voting and rating are closed; the 20 nominees with highest votes of their performing videos are announced.
4. The second round voting started at 15th 12:00 pm. This round, viewers of the website can only vote within 20 nominees. The second round voting is expired on 25th 12 am of each month.
5. Among the 20 nominees, the one gets the most votes wins the competition. The winner is announced by Onlineidols website on 25th 12pm each month. The idol title of the specific month is given to the winner.
6. After 12 month of a calendar year, the idol of each month is given a chance to compete for Idol of the year. They must summit a new video by the next year 15th of January 12am if s/he is willing to compete. On the same day 15th at 12pm. All twelve newly create videos are displayed on the Onlineidols website, and all contestants compete the title for idol of the year. The first round voting and rating only open to our member. On January 31st at 12pm of each year, the top three idols with the highest votes are announced, and the second round voting begins. The round of voting is open to the viewers of the website (do not have to be a member). By the 15th of February of the next year at 12am, the voting is closed and the final winner is announced on the same day 12pm. (All times mentioned here are eastern U.S. time.)

By entering the Contest, each individual entrant (the "Entrant") agrees to abide by all the Official Rules and the Terms of Use, which shall be final and binding in all respects.

3. Eligibility.
This competition is open to everyone who is eligible and meets the Video Entry Requirements and lives within the Unites States. Entrants must be the age of majority or older in their state of residence. This contest is open to all Onlineidols members. No employees or family of employees are eligible.

4. Entry Process.
Individuals may enter this Contest by visiting the Site, and completing the form on the submit section (the "Submission").
In regards to the Contest, each Entrant must complete the following:

1. Entrants must join Onlineidols and become our members.
2. Entrant must submit videos through Onlineidols Website. There is no charge for submission.
3. Entrant must provide his/her full name correctly and accurate contact information. The Onlineidols website will only contact you in case you win.

5. Video Entry Requirements.
Entrants' submissions must meet the following specifications and requirements to be eligible:

1. Each Entrant may submit one (1) performance video during each Contest Period (every month).
2. Each Video must be no more than 5 minutes and no less than 1 minute in total running time including credits.
3. One Entrant may represent a group (such as a band). Under such circumstance, if the Entrant wins, the prize will be presented to the submitting Entrant.
4. Multiple Entrants that submit the same performing video will be treated on a first come, first serve basis. If the performance wins, the Entrant that first submitted the video and has legitimate association with the performance shall receive the prize.
5. Prior to the Submission, Entrants are responsible for obtaining from all applicable individuals or entities, any and all required rights, releases, consents, clearances, licenses and other authorizations necessary to exploit the videos in the manner and media set forth in these Official Rules, including but not limited to, location releases; a name, voice and likeness release for each person included or visible in the Video (other than Entrant); releases for any audio and/or audiovisual material not wholly-owned and controlled by Entrant, (collectively, the "Clearances"). If any person(s) appearing in any Video is (are) under the age of 13, the respective parent or legal guardian is required on each release.
6. Not infringe upon copyrights, trademarks, rights of publicity, rights to privacy, or any other rights of any individual or entity. Be either an entirely original work (performance) of Entrant or, if any elements of the performing Videos are not original, Entrant must have obtained all applicable Clearances prior to registration to be able to include these elements in the Video and to exploit the Videos in the manner and media set forth in these Official Rules.
7. All Videos submitted for the Contest must not contain any sexually explicit, disparaging, libelous or other inappropriate content or any nudity.
8. Not be subject to any liens, claims or encumbrances, which may conflict with the exploitation of the Video as set out in these Official Rules.
9. At any time during the Contest, the Onlineidols Website reserves the right, in its sole and unfettered discretion, to disqualify and remove any Videos that potentially or actually infringes any third party's copyright(s). At any time during the Contest, Staff reserves the right, in its sole and unfettered discretion, to disqualify and remove any Video based on the belief that such Video contains any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. Staff reserves the right, in its sole and unfettered discretion, to verify that all necessary Clearances relating to any Video have been obtained. If, Staff believes, in its sole and unfettered discretion, that an Entrant has failed to obtain any of the necessary Clearances relating to the Entrant's Video, the Entrant's submission will also be disqualified and removed. In the event of any disqualification as a result of violation of the rules set out in the entrance requirements, no refund on paid fee will be given.

6. Selecting the WINNER.
Our members are the judges and they will review all performing Video submissions over the period of the first 15 days of a calendar month. The selection of twenty (20) nominees shall be judged by only members of Onlineidols website. Each member can only vote once. Twenty (20) nominees will be chosen based on their voting count and entertainment value, and then screened on the Site for the following 10 days. Viewers of the site (do not need to be our member) will be given the opportunity to vote for their favorite performing Video. Each IP address can vote only once. The video with the most votes shall win the Prize. The Onlineidols website reserves the right to change the selection format, number and order at its sole discretion without notice.

7. Rights and Permissions.
By participating in this Contest, Entrants agree that during the Contest Period, Onlineidols website is authorized to display the performing Videos on the Site. Each of the final 20 nominees grants Onlineidols website the right to display his/her/their performing Videos in the Contest in the manner described in all phases.

1. All Entrants grant permission to Onlineidols to use their Videos, names, likenesses, photographs, voices, sounds and/or biographical information in connection with the Contest and for any and all advertising, publicity and promotional purposes (whether or not related to the contest or not) without additional compensation, unless prohibited by law.
2. As a condition of becoming a Finalist, each Finalist grants Onlineidols the right to display his/her performing Videos, in part or in its entirety on the onlineidols.com website or any other websites owned or operated by, for or on behalf of Onlineidols.com or any of its related or affiliated companies for a period up to twelve (12) calendar months from the completion of the Contest Period. Apart from the display of the Videos in the Contest, finalists understand that nothing in this section obligates Onlineidols to display any of the Finalists performing Videos in any way. Finalists further agree, except where prohibited by law, to grant Onlineidols the right to use his/her/their name, likeness, photographs, voices, sounds and and/or biographical information for any and all future advertising, publicity and promotional purposes without additional compensation, unless prohibited by law.
3. As a condition of becoming the Grand Prize winner, the Grand Prize winner must sign a Release Agreement Form granting Onlineidols the right to display his/her/their performing Videos, in part or in its entirety on the Site and any website owned or operated by or on behalf of Onlineidols for a period of one calendar year from the completion of the Contest Period. Furthermore, by agreeing to these rules, terms and conditions, all Entrants grant Onlineidols the right to display any or all performing Videos on terrestrial, cable or satellite television stations as part of promotion of Onlineidols and/or its Entrants. The Grand Prize winner understands that nothing in this section obligates Onlineidols to display any of his/her Video in any way.

8. Rights and Indemnification.
By entering the Contest, each Entrant releases, forever discharges, holds harmless and indemnifies Onlineidols and its respective affiliates, subsidiaries, licensees and assigns, and all of such parties respective officers, directors, employees, agents, representatives, independent contractors and affiliates (hereinafter, "Released Parties") from and against any and all claims, liabilities (including, but not limited to, attorneys' fees and disbursements), demands and actions of every kind and nature, whether or not now known or suspected (collectively, "Claims"), arising out of or in connection with the Contest, any performing Video or other materials submitted by the Entrant (including, but not limited to, any and all claims of third parties, whether or not groundless, based on the performing Video or such other material, including, but not limited to, Entrant's failure to obtain all necessary Clearances relating to such Video from such third parties), and any breach or alleged breach of any warranty, representation, covenant or agreement on the part of the Entrant contained in these Official Rules. Onlineidols is not responsible for any problems or delays arising from any technical, software or equipment malfunctions, congestion on or unavailability of the Site during the Contest Period, any other technical, equipment or human errors of any kind, or any damage or alteration to Entrant's Video that may occur in connection with the uploading or display of the Video on and during the Contest.

9. PRIZES.
The Viewer's Choice Award: First Prize Trophy and $400 and second prize of $200, third prize of $100) Automatic entry into Phase 3. Featured Video on the Site. The Onlineidols yearly award: Trophy. $2,500.

Prizes will be awarded in the name of the person who submits the Video ONLY. Any dispute that may arise in a group submission is to be settled by the group with no obligation by Onlineidols to award any prize to any party other than the sole party who completes the Submission. No substitution, transfer, assignment or cash equivalent redemption may be made for any prize. The Grand Prize winner agrees to provide Onlineidols with all necessary information to complete any necessary I.R.S. 1099 and other related tax information. All federal, state, or other taxes (if applicable) are the sole responsibility of the winners.

10. Winners Lists.
The name of the Finalists will be posted on the Site after the prizes have awarded. The term of posting will be at Onlineidols sole discretion.

11. General Conditions:
a) If Onlineidols determines in its sole discretion that there is any suspected or actual evidence of electronic or non-electronic tampering or fraud relating to any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, Onlineidols reserves the right in its sole discretion to disqualify any individual who tampers with the entry and/or voting process, and to cancel, terminate, modify or suspend the Contest, in whole or in part, at any time without notice. Onlineidols and the co-sponsors will not be liable for any failure to screen the Finalists' Videos if that failure is due to circumstances beyond Onlineidols's control.

b) If for any reason Onlineidols uses any portion of the Video and/or other material submitted by such Entrant in violation of such Entrant's rights, Entrant agrees that Entrant's remedy shall be limited to an award of money which shall not exceed the fair market value, as of the date of start of the Contest Period, of the right to display similar Videos in the manner that Entrant's Video was displayed during the Contest. In no event shall Entrant be entitled to any other or additional compensation or remedy. Entrant hereby waives any right to seek injunctive or other equitable relief in connection with any claim that Onlineidols, or any of its affiliates, officers, directors, employees, agents or representatives may have used any portion of such Entrant's Video and/or other materials in violation of Entrant's rights.

c) Entrants agree that they will not be compensated for submitting any Video, regardless of whether their Video is selected as the Grand Prize winner or is otherwise used by Onlineidols in any manner. By entering the Contest, each Entrant hereby releases Onlineidols and its respective affiliates, subsidiaries, licensees and assigns, and all of such parties' respective officers, directors, employees, agents, representatives, independent contractors and affiliates from any and all liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with Entrant's participation in the Contest or with the acceptance of any prize (including, but not limited to, claims, costs, injuries and losses related to any Videos, recordings, copyrights, rights of publicity or privacy, defamation, portrayal in a false light, personal injuries, death, damage to or destruction of property).

d) You have read and understand this Agreement, and you acknowledge that no oral representations of any kind have been made by Onlineidols and that this Agreement states the entire understanding between you and Onlineidols. Any modification or waiver hereunder must be in writing, affirmed by the party to be bound. The invalidity of any provision hereof will not affect the remaining provisions.

f) The Onlineidols reserves the right to change these official rules terms and conditions at its sole discretion without notice.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE, INCLUDING, BUT NOT LIMITED TO, ONLINEIDOLS WEBSITE, AFFILIATES, AND CO-SPONSOR WEBSITES OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, ONLINEIDOLS RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
